Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Cyberwrap Studio, operated by Michael Russell as a sole proprietor (the “Service”, “we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Cyberwrap Studio provides fleet owners with tools to design vehicle wrap advertising, manage panel inventory, send proposals, and accept payments from advertisers. We provide the software platform; we are not a party to the advertising agreements you form with advertisers.

We also offer Cyber Service, a mobile vehicle-care service we provide directly to Cybercab owners. Cyber Service is a separate offering with its own terms in Section 5; where you book Cyber Service, you are contracting directly with us for that service.

2. Accounts

You must provide accurate information and keep your password secure. You are responsible for all activity under your account. You must be at least 18 and able to form a binding contract.

4. Advertiser Transactions

Payments from advertisers for panel advertising are processed through Stripe and routed according to your account configuration. You are responsible for fulfilling the advertising you sell, for the accuracy of your pricing and availability, and for any applicable taxes. Disputes between you and an advertiser are between those parties.

An advertiser purchasing panel advertising through the platform is purchasing from you, the independent fleet owner — not from Cyberwrap Studio. The advertising agreement is solely between the advertiser and you. Cyberwrap Studio provides the software platform and payment facilitation only, is not the seller or provider of the advertising, and is not responsible for the advertising sold, its fulfillment, refunds, or any dispute between you and an advertiser. You agree to present yourself to advertisers as an independent operator using the Cyberwrap Studio platform, and not as Cyberwrap Studio or its agent, partner, or representative.

5. Cyber Service (Mobile Vehicle Care)

Cyber Service is a mobile vehicle-care offering (detailing, camera & sensor cleaning, fluid top-ups, charge top-ups and related upkeep) provided directly by Cyberwrap Studio. Unlike the advertising platform described above, when you book Cyber Service you are purchasing a service from us. The following terms apply:

7. Content & Intellectual Property

You retain ownership of designs and content you upload. You grant us a limited license to host, process, and display that content as needed to operate the Service. The Service’s software, branding, and design are owned by us and may not be copied without permission.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate accounts that violate these Terms or that pose a security or legal risk. Sections that by their nature should survive termination (e.g., payment obligations, disclaimers, limitations of liability) will survive.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure. Cyber Service vehicle care is performed with reasonable skill and care, but is likewise provided without warranty beyond what applicable law requires and does not include mechanical repair, diagnostics, or bodywork.

10. Limitation of Liability

To the maximum extent permitted by law, Cyberwrap Studio will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Texas, and you consent to their jurisdiction.

12. Changes

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above. Continued use after changes constitutes acceptance.

13. Trademarks & Non-Affiliation

Cyberwrap Studio is an independent advertising platform and is not affiliated with, endorsed by, or sponsored by Tesla, Inc. “Cybercab” refers to the Tesla Cybercab vehicle operated by independent fleet owners. All third-party trademarks are the property of their respective owners.
